Governs platform access, workspace administration, Customer Data ownership, subscription terms, and liability limits.

Audience: All registered users, workspace owners, and business customers
Developer: Zambezi Digital

Official Policy Publication — Enforced Standards

This document is an active, binding operational policy published by Zambezi Digital governing the security, data privacy, and usage regulations of Kairo OS across all jurisdictions.

1. Contracting Parties & Acceptance

These Terms of Service (“Terms”) govern access to and use of Kairo, an AI-powered business operations platform developed by Zambezi Digital, subject to confirmation of the contracting corporate entity (“Kairo,” “we,” “us,” or “our”). By creating an account, accepting these Terms, or using the Service, you agree to these Terms. If you use Kairo on behalf of an organisation, you confirm that you possess the requisite authority to bind that legal entity. If you do not agree, do not access or use the Service.
Key takeaway: Acceptance binds you and any organisation you represent to these terms.

2. Eligibility & Capacity

You must have full legal capacity to enter into a binding agreement under the laws applicable to you. In accordance with Kairo's Age Eligibility Policy, independent accounts are restricted to individuals 18 years of age or older. Individuals under 18 may only access the platform through an approved Parent or Legal Guardian Supervision process where permitted by law.
Key takeaway: Users must be 18+ or access via an approved guardian supervision workflow.

3. Scope of the Service

Kairo provides business document organization and semantic search, AI-assisted operational question answering (Ask Kairo), team role administration, fleet and vehicle recordkeeping, task and calendar tools, notifications, and security audit logs. Kairo is a software tool and does NOT provide legal, tax, accounting, medical, safety, or financial advisory services.
Key takeaway: Kairo is an operational software tool, not a professional advice provider.

4. Customer Data Ownership

“Customer Data” means all documents, fleet records, messages, and files uploaded to your workspace. As between you and Kairo, you retain full ownership, right, and title in Customer Data. You grant Kairo a strictly limited, non-exclusive license to host, process, and retrieve Customer Data solely as necessary to provide, secure, and maintain the Service according to your instructions.
Key takeaway: You own all your uploaded business data. Kairo has no ownership rights.

5. Artificial Intelligence Boundaries

Ask Kairo operates strictly under a read-only architecture with no autonomous database write privileges. AI-generated outputs are probabilistic decision-support aids that may contain inaccuracies or hallucinations. You agree to independently verify all material outputs prior to executing financial, legal, fleet safety, or operational decisions.
Key takeaway: AI outputs are advisory and must be verified by humans before action.

6. Prohibited Activities

You agree not to bypass role permissions or tenant isolation, upload malicious code, conduct unauthorized vulnerability scans, attempt prompt injection or jailbreaks, extract system prompts, or misuse Kairo to violate privacy rights or intellectual property laws. Violations are subject to immediate suspension under our Acceptable Use Policy.
Key takeaway: Adversarial hacking, scraping, and prompt injection are strictly prohibited.

7. Disclaimers & Limitation of Liability

The Service is provided on an “as available” basis without warranties of uninterrupted availability. To the maximum extent permitted by law, neither party is liable for indirect or consequential damages. Any aggregate liability cap is subject to formal review by legal counsel based on fees paid in the preceding 12 months, and does not limit liability for fraud, willful misconduct, or non-waivable statutory rights.
Key takeaway: Liability is proportionate and subject to non-waivable statutory protections.

8. Governing Law & Dispute Resolution

Governing law and jurisdiction will be confirmed by qualified legal counsel upon corporate structuring. Mandatory consumer protection rights under applicable local laws cannot be excluded by this clause. Good-faith written dispute resolution is required prior to commencing formal proceedings.
Key takeaway: Governing law will be determined upon final corporate registration.
